1Blue Jays get a solid corner infielder in JD Davis. The bat is an upgrade at 3rd and enables IKF to be the super-utility guy. Giants get a capable MLB reliever and P prospect (Juenger TOR #21 Prospect) + cash. Richards has crazy good K% as well as super bad BB%, but is a capable innings eater as a long reliever/spot starter. The Blue Jays can afford to take JD and pay for Richards all while staying under the 2nd luxury tax threshold according to Fangraphs, while the Giants are looking to shed some salary to potentially sign another FA while staying under the 1st tax threshold.
